1.Introduction & Agreement

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Clear Thoughts Concepts (“Company”, “we”, “us”, or “our”), governing your access to and use of the We Say Chat mobile application (the “App”) and related services.

We Say Chat is a mindful communication application created to encourage thoughtful, intentional dialogue, emotional self-check-ins, and structured conversations.

2.Eligibility & Registration

• Age Requirement: You must be at least sixteen (16) years of age to register for and use We Say Chat. By creating an account, you represent and warrant that you meet this age requirement.
• Account Verification: Accounts are registered using your mobile phone number via SMS One-Time Password (OTP) verification. You agree to provide accurate, current, and complete information and maintain the security of verification codes sent to your device.
• Responsibility: You are responsible for all activities and messages transmitted under your registered account.

3.User-Generated Content & Community Conduct

(Zero Tolerance for Objectionable Content)

We Say Chat is built on respect, emotional awareness, and empathy. As a user of this platform, you explicitly agree to the following standards of conduct:

A. Prohibited Activities

You shall not use We Say Chat to:

• Transmit, distribute, or facilitate any defamatory, harassing, threatening, abusive, hateful, obscene, sexually explicit, or racially offensive content.
• Stalk, bully, intimidate, or harm another individual.
• Impersonate any person, brand, or entity, or provide false registration details.
• Spam other users with unsolicited advertisements or commercial solicitations.
• Engage in unlawful conduct or transmit malicious software, links, or viruses.

We reserve the unconditional right to investigate, temporarily suspend, or permanently terminate any user account that violates these community standards, without prior notice and at our sole discretion.

4.App Features & Mindfulness Tools

• Emotional vs. Logical Prompts: The App provides interactive prompts (such as categorizing messages as emotional or logical, cooling-off delays, and agenda structuring) designed to facilitate constructive conversation. These prompts are intended as communication aids and do not constitute formal psychological, medical, legal, or therapeutic advice.
• Third-Party Wellness Links: The App may provide convenient links or shortcuts to independent third-party mindfulness and meditation applications (e.g., Smiling Mind, Calm). We do not control, own, or endorse third-party applications and accept no responsibility for their content or operations.

5.Intellectual Property Rights

Clear Thoughts Concepts retains all rights, title, and interest in and to the We Say Chat application, including but not limited to the user interface design, brand name, logos, text, software, graphics, animations, and proprietary algorithms. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes in accordance with these Terms.

6.Disclaimers & Limitation of Liability

A. “As Is” Warranty Disclaimer

We Say Chat is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uptime, or error-free operation.

B. Limitation of Liability

To the maximum extent permitted under applicable law, Clear Thoughts Concepts, its founders, directors, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits, data, or goodwill, arising out of or related to your access to, reliance upon, or use of the App.

7.Account Termination & Deletion

• Termination by You: You may delete your account at any time through the in-app setting (Settings > Delete Account) or by emailing wesayapp@gmail.com. See Account Deletion for details.
• Termination by Us: We may suspend or terminate your access immediately if you breach these Terms, engage in harmful behavior, or if required by law.

8.Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Victoria and the Commonwealth of Australia, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia for the resolution of any dispute.

9.Amendments to Terms

We reserve the right to revise or replace these Terms at any time. When updates occur, the revised date at the top of this document will be updated. Continued use of the App after any modifications become effective constitutes your acceptance of the revised Terms.
